EBNP BYLAW AMENDMENT PROPOSAL
The East Bank Neighborhoods Partnership (EBNP) has one bylaw amendment proposal to be put to a vote at our next Meeting of the Neighborhoods (a membership meeting). This proposal will come to a vote on Tuesday, September 22, 2026, 6:30 pm.
Official notification of this proposal was distributed to the EBNP Membership on September 4, 2026.
All EBNP Meetings of the Neighborhoods are open to the public and attendees are allowed to participate in debates. The Board of Directors reviewed this proposed amendment to ensure it complies legal and organizational mission requirements.
All EBNP members are encouraged to attend the September meeting and vote.

ARTICLE 4: Board of Directors
C. Size and Tenure
The Board of Directors shall consist of 15 Directors, including officers. Directors will be elected at the Annual Meeting of the Corporation and shall serve for a term that expires at the Annual Meeting of Members held in the second year following his or her election. Terms of Directors will be staggered such that the terms of approximately one-half (1/2) of the Directors will expire each year. The Board of Directors may establish procedures to implement and manage the staggering of terms.

District 1, District 2, and At-LargeDirectors will be elected at the Annual Meeting of the Corporation and shall serve for a term that expires at the Annual Meeting of Members held in the second year following their election. District 3 Directors will be elected annually. Terms of Directors will be staggered such that the terms of 60% (3/5) of the Directors will expire each year. In odd numbered years, District 1 Directors, District 3 Directors, and one-half (½) of the At-Large Directors will be elected. In even numbered years, District 2 Directors, District 3 Directors, and the remaining half (½) of the At-Large Directors will be elected.The Board of Directors may establish procedures to implement and manage the staggering of terms.

RATIONALE FOR CHANGE
This amendment establishes a clear and predictable schedule for Board elections so that EBNP does not need to determine from year to year which seats are up for election. Under the proposed structure, approximately 60% of the Board will be elected each year, providing regular opportunities for community members to seek Board service while maintaining continuity and experience among returning Directors. Establishing one-year terms for District 3 reflects the unique nature of that district, which includes a significant student population and therefore experiences greater annual turnover. Electing District 3 Directors each year creates a more practical opportunity for residents of the district to participate in Board leadership. The amendment creates a transparent staggering system that members and prospective candidates can easily understand: District 1 seats are elected in odd-numbered years, District 2 seats in even-numbered years, District 3 seats every year, and half of the At-Large seats each year.
